KeyCorp Names DeSpirito, Henson to Board, Appoints Vasos as Lead Independent Director

KEYKEY

KeyCorp will nominate Antonio DeSpirito and Christopher Henson for election at its 2026 Annual Meeting and appoint Todd Vasos as Lead Independent Director, while Carlton Highsmith and Ruth Ann Gillis will retire. These changes reaffirm commitment to governance and shareholder value creation while maintaining a 14-member board.

1. Q4 Earnings and Revenue Outperformance

KeyCorp delivered fourth-quarter earnings per share of $0.43, surpassing the consensus estimate of $0.38 and marking a 7.9% year-over-year increase. Revenue for the period totaled $2.01 billion, ahead of the $1.97 billion forecast, driven by strong loan growth and diversified fee income. This performance underscores the firm’s ability to generate steady top-line gains in a competitive banking environment.

2. Net Interest Income and Margin Expansion

Net interest income rose 3% sequentially, lifting quarterly NII to a record level and driving net interest margin to 2.82%, up 7 basis points from the prior quarter. Management highlighted that ongoing balance sheet repositioning and higher loan yields should propel NIM above 3.0% by year-end 2026, with a medium-term target of 3.25% by 2027.

3. Asset Quality and Credit Loss Provisions

Provisions for credit losses surged to $108 million in the quarter, reflecting a cautious stance on underwriting standards and higher forward-looking reserves. Despite this increase, nonperforming assets declined 6% sequentially, indicating improvement in asset quality. The elevated provisions weighed on investor sentiment, contributing to a 2% dip in early trading following the release.

4. Capital Position and Shareholder Returns

KeyCorp maintained a Common Equity Tier 1 ratio of 11.7%, well above regulatory requirements. The bank repurchased $200 million of common stock during the quarter, signaling confidence in its capital base. With a debt-to-equity ratio of 0.54 and a robust liquidity profile, management affirmed its commitment to disciplined capital deployment and shareholder value creation.
