K&F Growth Acquisition Corp. II issued $600,000 of unsecured promissory notes on Sept. 18, 2026.
The notes were issued to Daniel Fetters and Edward King, with $300,000 principal each. Proceeds are earmarked for working capital.
The notes bear no interest and mature at the earlier of the initial business combination or liquidation.
The payees can convert up to the full principal into units before a business combination, subject to conditions.
A default triggers if the notes remain unpaid within one business day of maturity. Repayment is tied to funds outside the IPO trust if no deal closes.
