KIDZ AI Amends $500M Convertible Facility, Raises Additional $600K for AI Expansion
KIDZ•The Company amended its $500 million secured convertible financing facility to permit acquisitions, strategic investments, joint ventures and infrastructure projects across AI, data centers and robotics, and issued an additional $600,000 of notes. The amendment supports its AI-native transformation, targeting GPU cloud services, intelligent robotics and AI-powered educational technologies.
1. Financing Facility Amendment
The Company amended its $500 million secured convertible financing facility to broaden permitted uses of proceeds and concurrently issued an additional $600,000 of notes under the facility.
2. Broadened Capital Allocation
The amended terms permit deployment of funds for acquisitions, strategic investments, joint ventures, working capital support, infrastructure development and international expansion across AI, data center operations and robotics sectors.
3. AI Infrastructure and GPU Cloud Strategy
KIDZ AI plans to establish a NeoCloud and GPU-as-a-Service infrastructure, focusing on leasing, managing and deploying GPU compute clusters to support AI training, inference and large-scale data processing workloads.
4. Robotics and Educational Technology Expansion
The Company will pursue robotics investments in educational and companion robots, as well as AI agents and intelligent tutoring systems to enhance K-12 learning, leveraging its GPU infrastructure for AI model training and simulation.
