Kloeckner board takes neutral stance on Worthington Steel’s EUR 11-a-share delisting offer

Worthington Steel has also flagged plans for a control and profit-transfer agreement, which could later include a cash exit at an undetermined price.
Worthington Steel’s offer and delisting plan
Worthington Steel launched a EUR 11 per share offer to buy Klöckner & Co shares to support a planned delisting.
The offer has no closing conditions; the delisting is expected to take effect immediately when the offer period ends.
Worthington Steel already holds about 62%, raising the risk of sharply reduced trading liquidity once the listing is withdrawn.
