Kyivstar agrees to acquire GigaCloud for up to $50 million
KYIV•Kyivstar agreed to acquire Ukrainian cloud infrastructure provider GigaCloud for up to $50 million. The deal includes a $41 million acquisition price, deferred debt and additional performance-linked consideration and capital expenditure reimbursement.
1. Deal terms
The transaction includes a $41 million acquisition price and up to $4 million in deferred non-adjustable debt. Additional consideration comprises approximately $3 million tied to performance and up to $2 million in capital expenditure reimbursement.
2. GigaCloud results
GigaCloud generated approximately $14 million in revenue and $4.7 million in EBITDA in 2025, based on unaudited management accounts. The acquisition is expected to be immediately accretive to earnings and cash flow, with completion subject to customary closing conditions.
