LandBridge shareholders backed a conversion from a Delaware LLC to a Texas corporation, with the board adopting a plan of conversion that sets up a rebrand to LandBridge Corporation with no lapse in legal existence.
- LandBridge directors voted on Aug. 4, 2026, to pursue a conversion from a Delaware LLC to a Texas corporation.
- Each Class A share or Class B share will convert 1-for-1 into Texas Class A common stock or Texas Class B common stock.
- LandBridge Holdings delivered written consent on Aug. 14, 2026, backing the deal with 47,168,908 Class B shares, or 61.2% voting power.
- The conversion is expected around Oct. 13, 2026, no earlier than 20 days after the information statement mailing that began Sept. 23, 2026.
