The deal centers on corporate governance reforms tied to disclosure controls, board oversight, and financial reporting. The reforms are set to last at least 3.5 years.
Court schedule and allegations
The settlement hearing is set for Oct. 6, 2026, and objections are due by Sept. 15, 2026.
The claims target alleged misleading disclosures of financial metrics and accounting practices from May 13, 2021 to Aug. 25, 2022, which led to restatements.
Legal fees and shareholder recovery
The company agreed to pay USD 450,000 in attorneys’ fees and expenses, subject to court approval. There is no cash recovery for stockholders.
