American Rebel Holdings’ board and senior management—including CEO Andy Ross, President/COO Corey Lambrecht and former President Doug Grau—elected to convert approximately $2.05 million of accrued obligations (advances, bonuses, director fees and other owed amounts) into Series D Convertible Preferred Stock at a stated value of $7.50 per share. As disclosed in the Form 8-K filed January 6, 2026, the transaction issues 289,396 shares of Series D to insiders and reduces accrued liabilities on the balance sheet, improving stockholders’ equity through a non-cash reclassification. Mr. Ross received 73,439 shares for $550,792 of compensation, Mr. Lambrecht 69,381 shares for $520,351, Mr. Grau 62,211 shares for $466,581 and three independent directors collectively 84,285 shares for $512,125 of director fees. The conversion preserves cash for operations and deepens insider alignment with long-term equity, supporting the company’s ongoing Nasdaq listing diligence and balance-sheet strengthening plan.

2. Strategic Distribution Expansion Accelerates Beer Rollout in Indiana

Building on its Distributor-First strategy for American Rebel Light Beer, the company announced a new partnership with Working Distributors, a family-owned Anheuser-Busch wholesaler covering Knox, Warrick, Posey, Gibson and Vanderburgh counties in Southwestern Indiana. This marks the second Indiana distributor alongside Zink Distributing and follows recent agreements in Pennsylvania, Massachusetts and Arkansas. Working Distributors brings modern warehousing, six-day delivery and established retail relationships to the rollout of the low-calorie, low-carb patriotic lager.
