LKCM Headwater affiliates agree to buy Distribution Solutions Group for $35 a share
DSGR•LKCM Headwater affiliates plan to acquire the Distribution Solutions Group shares they do not already own for $35 per share in cash. Eclipse Acquisitions Merger Sub priced $800 million of 10.000% senior notes due 2032, with closing expected Oct. 15, 2026.

2. Debt financing
Eclipse Acquisitions Merger Sub priced $800 million of 10.000% senior notes due 2032, up from $700 million. Proceeds are intended to fund the buyout and repay part of the company’s credit facility. Closing is expected Oct. 15, 2026.
