Local Bounti schedules a special stockholder meeting for Nov. 4, 2026, to be held via live audiocast.

Adjournment authorization if support is insufficient

Stockholders will also vote on authorizing an adjournment to solicit additional proxies if support for the share-issuance proposal is insufficient.

Share issuance proposals tied to U.S. Bounti securities

Stockholders will be asked to vote on issuing up to 12,563,309 common shares tied to the conversion of a convertible note held by U.S. Bounti.

A separate vote covers issuing up to 1,000,000 common shares underlying a common stock purchase warrant held by U.S. Bounti.
