Longevity Health settles Puritan Partners litigation, swaps note for $2.35 million senior secured convertibles

Longevity Health Holdings reached a settlement with Puritan Partners, ending litigation pending since November 2023.
Puritan sued over a January 2022 securities purchase agreement, secured convertible note, and warrant issued by Carmell Regen Med.
Case to be dismissed with no liability admission
The parties will file a stipulation dismissing the case.
The settlement includes no admission of liability or wrongdoing.
New convertible notes replace existing note and warrant
Longevity will exchange the existing note and warrant for new 10% senior secured convertible notes totaling $2.35 million.
The new notes mature in January 2028 and carry first-priority liens on substantially all assets across the company and its subsidiaries.
