Magic Empire Global signed a securities purchase agreement dated Aug. 25, 2026 for an unregistered sale of Class A ordinary shares.
The private placement totals US$6.72 million for 40,000,000 shares priced at US$0.17 each under Regulation S.
The price equals 15% of the prior trading day’s closing price for the Class A ordinary shares.
Closing is set for a later date once the required Nasdaq notifications are completed and the applicable waiting periods expire or are waived.
Net proceeds are earmarked for working capital and general corporate purposes, and may not be used for share redemptions or for any use that would violate FCPA or OFAC rules.
