MakeMyTrip Limited has issued a Repurchase Right Notice to holders of its 0.00% Convertible Senior Notes due 2028 (CUSIP No. 56087F AB0), giving them the right to require the Company to repurchase notes at par on February 15, 2026. Under the Indenture dated February 9, 2021, each holder may tender any integral multiple of USD 1,000 principal amount. As of January 12, 2026, USD 230 million in aggregate principal amount of notes remains outstanding. If fully exercised, MakeMyTrip will pay USD 230 million in cash on the repurchase date, with no interest payable. The repurchase window opened at 9:00 a.m. New York time on January 12, 2026 and closes at 11:59 p.m. Eastern Time on February 12, 2026. Holders may withdraw tenders up to the same deadline and must follow procedures set forth in the Repurchase Right Notice, available from The Bank of New York Mellon and the Depository Trust Company. No recommendation is being made by MakeMyTrip or its board regarding exercise of the repurchase right.
