Medtronic sets final 4.5939 exchange ratio in MiniMed split-off offer
MDT•Medtronic set a final exchange ratio of 4.5939 MiniMed shares for each Medtronic ordinary share accepted in its split-off, reaching the offer’s upper limit. Up to 225,361,295 MiniMed shares are available, and the offer is scheduled to expire at midnight New York time on Oct. 9, 2026.

Medtronic set the final exchange ratio at 4.5939 MiniMed shares for each Medtronic ordinary share accepted. The ratio reached the offer’s upper limit because the exchange ratio calculated from reference prices would have been higher.
2. Shares and deadline
Up to 225,361,295 MiniMed shares are available in the offer, with 27,452,053 additional shares possible in an oversubscription. At the final ratio, Medtronic would take about 55,032,401 shares if it tenders its remaining MiniMed stake, or about 49,056,639 shares otherwise. The offer and withdrawal rights are scheduled to expire at midnight New York time on Oct. 9, 2026.
