Metaplanet to invest 2,100 bitcoin plus $2.5 million in Super League, take 95.7% stake

Metaplanet’s U.S. unit agreed to contribute 2,100 bitcoin valued at about $132.1 million, with $2.5 million cash, to Super League.
Consideration includes 44,859,400 new shares at $3 per share, preferred stock, and 10-year warrants for up to 381,000,000 shares.
The transaction implies an aggregate investment of about $134.6 million, with the share count fixed using Aug. 14 bitcoin pricing.
Super League to be renamed Superplanet after closing
Post-closing, Super League will be renamed Superplanet, with Metaplanet owning about 95.7% of common stock outstanding.
Closing is targeted for the fourth quarter of 2026, subject to Super League stockholder approval and Nasdaq-related filings.
