On January 5, 2026, Mobix Labs, Inc. filed a preliminary prospectus supplement with the SEC under its effective Form S-3 (File No. 333-284351) to offer shares of its common stock or equivalents. All shares will be sold by the company, with no secondary selling shareholders involved. The offering remains subject to market and other customary conditions, and no final size or terms have been set. Investors will be able to review the preliminary prospectus supplement on the SEC’s website once it is filed, and copies can be obtained directly from D. 2. Placement Agent and Use of Proceeds

D. Boral Capital LLC has been retained as the sole placement agent for the transaction. Mobix Labs intends to dedicate the net proceeds from the offering toward working capital and general corporate purposes, including research and development of next-generation RF and mmWave connectivity solutions. The company’s shelf registration was declared effective on January 24, 2025, providing flexibility to access the capital markets quickly under prevailing conditions.

3. Strengthening Defense Operations with New Leadership and Facility Expansion

On the same day, Mobix Labs announced the appointment of veteran defense executive Amir Asvadi as General Manager of its EMI product line and defense manufacturing operations. Asvadi brings senior leadership experience from publicly traded aerospace and defense firms, including cross-functional oversight of engineering, marketing, sales and operations. Concurrently, Mobix Labs is planning a move to a larger, military-approved facility on the West Coast to consolidate its manufacturing footprint, boost production capacity for components used on platforms such as the F-35 Lightning II, F/A-18 Super Hornet, F-22 Raptor and Apache helicopter, and improve throughput and delivery consistency for defense customers.
