Modine sets Sept. 28 record date for Gentherm deal spin-off of Performance Technologies unit

Modine will spin off its Performance Technologies business via a distribution of Platinum SpinCo shares to shareholders.
SpinCo will then merge with a Gentherm subsidiary on Oct. 1, 2026, with SpinCo shares converting into Gentherm stock.
Record date set for Sept. 28, 2026; SpinCo distribution slated for Oct. 1; Modine shares trade with due bills Sept. 28–Oct. 1.
Gentherm dividend and exchange-ratio changes
Gentherm set a special cash dividend of about $58.35 million, or about $1.9 per share, payable Oct. 7, 2026.
Expected exchange-ratio adjustment would add about 2,902,466 Gentherm shares; SpinCo cash payment to Modine cut to $159 million from $210 million.
