NaaS Technology raises USD 25 million in private placement of shares and warrants

NaaS Technology priced a US$25 million private placement of 7,507,507 ADSs, each representing 3,200 Class A ordinary shares.
The sale price was set at US$3.33 per ADS, equivalent to about US$0.001041 per Class A ordinary share.
The deal also included warrants for up to 7,150,007 additional ADSs at US$3.5 per ADS, exercisable through Aug. 31, 2031.
Closing and ownership changes
The closing was completed Aug. 31, 2026, and total shares outstanding rose to 78,601,180,281.
Controlling shareholder Newlink participated through an affiliate, and post-closing voting power held by the Newlink group stood at 57.71%.
