- Severance triggers: termination without cause or for good reason within two years of a change in control, or without cause within 30 days before.
- Cash payout: lump sum equal to 2x the average of base salary and bonus over the prior two calendar years.
- Additional benefits: lump-sum bonus payment tied to target or earned performance, 18 months of COBRA coverage, accelerated time-vested equity.
- Includes 12-month non-compete and non-solicit terms if severance is paid, with a cutback to avoid Section 4999 excise tax.
