NHC•National Healthcare Corporation has completed purchase of the real estate of 32 skilled nursing and three independent living facilities from National Health Investors for $560 million, securing ownership of assets in Alabama, Florida, Kentucky, Missouri, South Carolina, Tennessee and Virginia. The move is expected to be accretive to earnings and cash flow as NHC transitions from leasing to owning these healthcare centers.
1. Transaction Details
National Healthcare Corporation finalized a $560 million deal to acquire the real estate of 32 skilled nursing facilities and three independent living communities from National Health Investors. This purchase transfers ownership of properties that NHC had been leasing under a Master Agreement since 1991.
2. Strategic Rationale
Company leadership expects the shift from leasing to ownership will yield strong long-term returns and be accretive to both earnings and cash flow. Securing direct control over these assets aligns with NHC’s operational strategy to enhance investor value.
3. Operational Impact
The newly owned facilities span seven states: Alabama, Florida, Kentucky, Missouri, South Carolina, Tennessee and Virginia. NHC will operate all locations except four Florida skilled nursing facilities, which remain under third-party leases, complementing its existing senior care and home health services.
