Natural Gas Services Group Redomesticates to Texas with 99% Shareholder Approval
NGS•Natural Gas Services Group’s shareholders approved the redomestication of its incorporation from Colorado to Texas with approximately 99% support at the June 10, 2026 annual meeting. The conversion, effective on or about July 20, 2026, aligns NGS’s legal domicile with its Southlake headquarters, Midland administrative office and key Permian Basin operations.
1. Redomestication Process
Natural Gas Services Group will convert its state of incorporation from Colorado to Texas effective on or about July 20, 2026, through a statutory conversion. The company will continue as Natural Gas Services Group, Inc. in Texas upon filing required conversion documents with both states’ Secretaries of State.
2. Shareholder Approval and Timeline
At the June 10, 2026 annual meeting, approximately 99% of the shares voted in favor of the redomestication proposal. Shareholders are not required to take any action and the company’s New York Stock Exchange listing under symbol NGS will remain unchanged.
3. Operational and Legal Alignment
The redomestication aligns NGS’s legal domicile with its Southlake, Texas headquarters and Midland administrative office, which support its natural gas and electric compression services across the Permian Basin, Eagle Ford and other Texas producing regions. There will be no changes to operational facilities, management or assets.
4. Governance Structure Changes
The conversion will replace NGS’s previously staggered board structure with annual director elections, ensuring all directors stand for election each year. This governance update is intended to align corporate oversight with the company’s new state of incorporation.
