NeoVolta lowers stockholder meeting quorum to one-third of voting power
NEOV•NeoVolta adopted bylaws effective October 30, 2026, lowering the stockholder meeting quorum from a majority to one-third of outstanding voting power.
1. Bylaw changes
The bylaws provide for director elections by plurality and require a majority of votes cast on other questions. Abstentions and broker non-votes count toward quorum but are excluded from votes cast. Board amendments to the bylaws now require a majority of directors, down from 66⅔%; stockholders may amend them with a majority of outstanding voting power at a meeting called for that purpose.
