Netcapital engaged Adeptus Partners as its independent auditor to support potential restatements of prior financial statements that should no longer be relied upon. Adeptus will audit fiscal years ended April 30, 2022, through April 30, 2026, and review fiscal 2026 interim financial information, replacing Fruci & Associates II, which resigned effective August 12, 2026. Unfiled annual and quarterly reports for periods ended April 30 and July 31, 2026, respectively, leave the company noncompliant with Nasdaq requirements. Netcapital said a compliance plan is due October 23, 2026, and that it intends to file the overdue reports as soon as practicable.
