New Concept Energy plans a private placement of 2,000,000 unregistered common shares to Realty Advisors at $1 per share.
The deal targets gross proceeds of $2 million, subject to NYSE American approval for listing the additional shares.
Stockholders cleared the issuance on Aug. 21, 2026, enabling the company to file the additional listing application.
Realty Advisors held 400,000 shares; closing would lift ownership to 2,400,000 shares, or about 33.65% of 7,131,935 shares outstanding.
The transaction would trigger a change in control once the new shares are issued.
