NewAmsterdam Pharma amended a July 22, 2026 Form 8-K to disclose terms of Douglas Kling’s separation and advisory arrangements.
Kling’s resignation as chief operating officer takes effect Aug. 14, 2026 to become CEO of another clinical-stage biotech company.
Unvested stock options and RSUs were forfeited, except awards eligible to vest through May 14, 2027 if he provides advisory services.
The advisor agreement pays US$50,000 per month for transition work tied to the PREVAIL obicetrapib trial, running through May 14, 2027.
