NewHydrogen entered an equity financing agreement with GHS Investments for up to $3 million, contingent on an effective Form S-1.
The company issued 980,713 restricted common shares to GHS as commitment shares, to be registered for resale.
The funding is structured as “puts,” with share purchases priced at 92.5% of the 10-day low; 112.5% of each put will be delivered in shares.
Each put ranges from $10,000 to $1 million, capped by trading volume limits and a 4.99% beneficial ownership ceiling.
The facility runs for up to 24 months from S-1 effectiveness, or until $3 million is drawn; either party can terminate with 90 days’ notice.
