NovaGold says new holding company expects NYSE listing after Donlin Gold consolidation deal
NG•NovaGold outlined a reorganization that would make it a subsidiary of New NovaGold, which is expected to list on the NYSE after the plan closes. The deal would consolidate 100% ownership of Donlin Gold, and shareholders are set to vote on Nov. 3, 2026.
1. Proposed reorganization
NovaGold outlined a plan to move its stock market listing to a newly formed Delaware parent, New NovaGold, which is expected to list on the NYSE once the plan of arrangement closes. The deal would make NovaGold a wholly owned subsidiary of New NovaGold and consolidate 100% ownership of the Donlin Gold project through the contribution of Paulson’s 40% stake; shareholders are set to vote on the transaction at a Nov. 3, 2026 special meeting.
