Nuburu says October 15 share resale filing raises no new capital
BURU•Nuburu said its October 15 Form S-3 registers resale of up to 20 million shares tied to July-issued Series B preferred stock and raises no new capital. The company also closed its acquisition of a 70% controlling interest in Tekne that day.
1. Filing and acquisition
Nuburu said the Form S-3 issues no shares and creates no new conversion rights. The filing registers the resale of up to 20 million common shares tied to Series B preferred stock sold in July. On October 15, the company closed its acquisition of a 70% controlling interest in Tekne, expanding its defense manufacturing platform.
2. Program values and opportunities
Tekne’s September 14 production schedule included approximately $93.1 million in conditional remaining program value, which Nuburu said is not signed backlog or a revenue forecast. Management estimates more than $200 million in separate potential program opportunities; these are not current awards and require definitive contracts.
