Nuwellis priced a registered direct offering of 1,310,890 shares at $2.59, paired with a private placement of warrants for 1,310,890 shares.

The warrants carry a $2.59 exercise price, are exercisable immediately, and run for five years from the registration statement’s effectiveness.

Gross proceeds included about $3.1 million from the exercise of previously issued warrants tied to the June 2026 public offering.

Closing is expected on or about Aug. 3, 2026, subject to customary conditions.
