Oil States International amended CEO Lloyd A. Hajdik’s executive agreement on July 9, 2026, resetting severance formulas for qualifying terminations.
- Termination without Cause or resignation for Good Reason within 24 months of a Change of Control triggers a lump sum of 3.0x Termination Base Salary + Target AICP.
- Termination without Cause outside that 24-month window triggers a lump sum of 1.5x Termination Base Salary + Target AICP.
