Ondas acquires Insignito, Ottopia Defense and Caribou Labs for $56 million

Ondas acquired three defense technology businesses, adding capabilities in counter-drone sensing, unmanned-system teleoperation, resilient communications and navigation.

Aggregate consideration totaled $56 million, payable in cash or Ondas common stock; the price was set at under 3x expected 2027 revenue.

The deals include earnouts of up to $32 million through 2028, payable in cash or Ondas common stock on milestones.

Inducement equity grants covered 2,979,063 RSUs and 80,000 stock options to 37 newly hired employees tied to the acquisitions.

Ondas plans to integrate the acquired technologies across its autonomous defense platforms to expand its systems-of-systems product stack.
