Each unit comprises one common share and one warrant exercisable at six cents for three years. Insider participation includes a director subscribing for up to one million units, accounting for fifty thousand dollars, structured as a related-party transaction under Canadian Multilateral Instrument 61-101. The company plans to use net proceeds for general corporate purposes and may pay finder’s units under similar terms.
