Pacira Wins ISS Backing for Three Director Nominees, Cites 5x30 Growth
PCRX•ISS recommended voting FOR Pacira’s three director nominees – Christopher Christie, Samit Hirawat and Thomas Wiggans – and AGAINST all three DOMA nominees ahead of the June 9, 2026 Annual Meeting. ISS cited stronger performance after the 5x30 strategy launch and a board refresh that separated CEO and chair roles.
1. ISS Recommendation
ISS has urged Pacira shareholders to vote FOR the election of Christopher Christie, Samit Hirawat, MD and Thomas Wiggans on the BLUE proxy card and AGAINST all three nominees put forward by DOMA Perpetual Capital Management, in advance of the company’s June 9, 2026 Annual Meeting.
2. Board Refresh and Governance Actions
ISS noted that Pacira’s performance has measurably improved since implementing its 5x30 strategy for stockholder value creation, highlighting that seven of ten directors have been appointed or proposed since October 2023 and that the board separated the CEO and chair roles when appointing Frank Lee as CEO in January 2024.
3. Critique of Dissident Slate
The advisory firm criticized DOMA’s campaign as one-dimensional and lacking detail, pointing out that none of the dissident nominees have public company board experience or track records in strategic reviews, and that they failed to present a compelling case for change.
4. Pacira’s Response and Voting Instructions
Pacira expressed confidence in its refreshed board and 5x30 plan, urging all stockholders to follow ISS’s recommendation by submitting their votes via the BLUE proxy card and to disregard any white proxy materials from DOMA, with assistance available through its proxy solicitor, D.F. King & Co.
