Paramount Skydance Sweetens $30 Bid, Covers $2.8B Break Fee and Issues Cease-and-Desist to ByteDance
Paramount Skydance issued a cease-and-desist to ByteDance over its Seedance 2.0 AI generator’s use of Paramount franchises. PSKY raised its bid for Warner Bros. Discovery’s studio and HBO Max to $30 per share, covering the $2.8 billion break fee and ensuring shareholder compensation if not closed by Dec.31.
1. Sweetened Takeover Bid
Paramount Skydance has sweetened its takeover proposal for Warner Bros. Discovery’s studio and HBO Max to $30 per share, surpassing Netflix’s $27.75 cash bid and prompting Warner Bros.’ board to reopen sale talks.
2. Break Fee and Shareholder Protections
Under the amended offer, PSKY would assume Warner Bros.’ $2.8 billion termination fee payable to Netflix and guarantee compensation to shareholders if the acquisition does not close by December 31.
3. IP Dispute with ByteDance
Separately, Paramount Skydance issued a cease-and-desist letter to ByteDance over its Seedance 2.0 AI video generator, accusing it of unauthorized use of copyrighted characters and narratives from Paramount franchises.
