POR•PGE reaches stipulation with Oregon staff on reorganization plan
PGE reached a stipulation with Oregon utility staff backing a corporate reorganization into a holding-company structure.
The deal includes a $45 million commitment: $40 million in customer rate credits over three years and $5 million for community programs.
The stipulation bars recovery of acquisition premiums, goodwill and transaction costs; restricts funding or asset transfers above $1 million without approval; requires separate credit ratings; targets at least 45% common equity at the utility; and allows dividend suspension tied to credit stress.
The Oregon commission decision is scheduled for Aug. 25, 2026. A shareholder vote is also required, and FERC has cleared the structure.
