Planet Green entered an agreement allowing periodic sales of common stock through Craft Capital Management. Estimated sales capacity is about $22.54 million under Form S-3’s one-third public-float limit, based on a $67.6 million float calculated using 11,638,514 non-affiliate shares at $5.81 per share, the August 11, 2026 close. Craft Capital will receive a 4% commission on gross proceeds and reimbursement of specified expenses.
