Presidio Property Trust offers 5.5 common shares for each Series D preferred share in exchange offer

Presidio Property Trust launched an exchange offer to swap all outstanding 9.375% Series D preferred shares for newly issued Series A common.
Holders tendering by 11:59 p.m. New York time on Oct. 2, 2026 receive 5.5 common shares per preferred share.
No fractional common shares will be issued; entitlements round up to the nearest whole share at the participant level.
The offer has no minimum tender condition or financing condition, but remains subject to other customary conditions.

About 973,736 Series D preferred shares were outstanding as of today; SQFTP and SQFT trade on Nasdaq.
