Priority Technology agrees to go private in USD 8.05-a-share deal led by CEO Priore
PRTH•Priority Technology to be taken private in all-cash deal
An investor group led by Thomas Priore agreed to buy Priority Technology Holdings shares it does not already own for USD 8.05 each.
The all-cash deal implies an enterprise value of about USD 1.6 billion.
The offer values the stock at a 65% premium to the Nov. 7, 2025 close, the last session before the initial proposal became public. The price also represents a 38% premium to the Sept. 18, 2026 close, the last trading day before the agreement was reached.
Closing is expected in the first half of 2027, subject to regulatory clearances and a majority-of-minority shareholder vote.
