Profusa announces special shareholder meeting

Profusa will hold a virtual special shareholder meeting on Sept. 18, 2026, at www.virtualshareholdermeeting.com/PFSA2026SM.
Shareholders will vote on authorizing one or more reverse stock splits over two years, within a 1-for-2 to 1-for-12 range.
The proposal caps cumulative reverse splits at 1-for-12, with the board setting the final ratio without further shareholder approval.
The meeting also seeks approval to adjourn if needed to secure enough votes for the reverse stock split proposal.
