Psyence BioMed agrees to invest up to USD 5 million in PsyLabs via share subscription

Psyence BioMed is to issue 1,497,500 common shares to PsyLabs at a deemed price of USD 6 per share. PsyLabs is to issue 3,473 ordinary shares to Psyence BioMed, implying a PsyLabs equity valuation of USD 60 million.
Psyence Biomedical agreed to invest up to USD 5 million in PsyLabs, with USD 2.4 million irrevocably committed in its current financing round.
The remaining up to USD 2.6 million is set as a backstop subscription in up to two USD 1.3 million tranches, subject to milestones.
