Rainmaker Worldwide issued 9,955,367 restricted common shares on Sept. 2, 2026 to settle Series A Preferred Stock dividend arrears.
The non-cash consideration totaled US$225,020.59, extinguishing all accrued and unpaid Monthly Dividends through Aug. 31, 2026.
The company said it received no cash proceeds from the issuance, which was made under a Section 4(a)(2) private placement exemption.
Following the issuance, common shares outstanding increased to 95,004,273.
