Reliance Global Group’s board adopted a one-year stockholder rights plan aimed at protecting stockholder value amid a market-cap discount.
Dilution mechanism and board exchange option
The trigger would let non-acquiring holders buy additional shares at a discount, diluting the acquirer; the board can alternatively exchange rights for common shares.
15% ownership trigger and passive investor limit
Rights become exercisable if an investor acquires 15% or more without board approval; passive institutional investors may hold up to 20%.
