Rent the Runway updates bylaws to align with amended charter provisions

Rent the Runway amended its bylaws effective Aug. 11, 2026, aligning them with its newly restated Delaware charter.

Changes cover stockholder rights to call special meetings and take action by written consent, and board quorum standards.

Updates also conform provisions on director and officer indemnification and the process to amend the bylaws.
