RPGL•Shareholder vote set for Aug. 24, 2026
Shareholders will vote on Aug. 24, 2026, on a package that expands authorized shares to 11 billion, split into 10 billion Class A shares and 1 billion Class B shares.
Class B voting power is set to rise to 100 votes per share from 30, pending consent from the sole Class B holder.
The board is also seeking authority for a 1-for-2 to 1-for-50 share consolidation within 180 days, aimed at preserving flexibility for Nasdaq $1 bid compliance.
Proposed domicile shift to Cayman Islands
The proposals also include shifting the company’s domicile from the British Virgin Islands to the Cayman Islands, with new Cayman constitutional documents to take effect on continuation.
Voting requirements and board recommendation
Voting mechanics highlighted in the materials indicate a simple majority is needed for Proposals 1-6, while Proposal 7 requires a two-thirds vote.
The board recommends voting for all items.
