Ruanyun Edai signs exclusive Malaysian healthcare AI licensing deal with BioNexus Gene Lab

1. License terms
Ruanyun Edai Technology signed an agreement granting BioNexus Gene Lab an exclusive Cogni AI license for Malaysian healthcare. The 10-year license is renewable for up to 20 years and includes a 10% royalty on qualifying technology receipts, with no guaranteed revenue; contractual consideration of US$3.5 million is payable through 410,000 BioNexus shares valued at US$520,700 based on October 2, 2026 closing prices.
2. Share exchange and closing
In a separate exchange, BioNexus will issue 150,000 common shares for 500,000 Ruanyun ordinary shares, with no cash payment. Closing is subject to testing acceptance and approvals; either non-defaulting party may terminate if closing does not occur by March 31, 2027, unless the deadline is extended.
