RYTHM Secures $70M Annual Fee with Green Thumb License Amendments
RYTHM amended its trademark and recipe license agreements with a Green Thumb subsidiary, securing a $70 million fixed annual cash fee starting April 1, 2026. The agreement includes an annual fee increase equal to two times the Consumer Price Index-based escalator, enhancing revenue predictability and Nasdaq compliance support.
1. License Agreement Amendments
Effective April 1, 2026, RYTHM amended its existing trademark and recipe license agreements with an indirect wholly-owned subsidiary of Green Thumb Industries, covering key THC brands.
2. Financial Terms
Under the revised terms, Green Thumb will pay RYTHM a fixed annual fee of $70 million, with each subsequent year’s fee increasing by two times a CPI-based escalator.
3. Revenue Predictability and Listing Support
These amendments establish a stable, long-term revenue stream that enhances financial forecasting and supports RYTHM’s compliance with Nasdaq listing standards.
4. Brand Portfolio Coverage
The agreement encompasses RYTHM’s flagship brands including incredibles, Beboe, Dogwalkers, Doctor Solomon’s, &Shine, and Good Green, strengthening brand licensing reach.
