Sadot Group, VisionWave form 50/50 CM Composite Materials joint venture
SDOT•Sadot Group and VisionWave formed a 50/50 joint venture to pursue an investment in Israeli composites maker C.M. Composite Materials. VisionWave contributed about $7.81 million in secured loans and advances, and Sadot committed to match that amount in cash.
1. Joint venture structure
The partners formed CMJV, which received VisionWave’s rights to acquire 51% of C.M. Composite Materials and a call option for the remaining 49%. VisionWave also contributed about $7.81 million of secured loans and advances to the company.
2. Funding and terms
Sadot committed to provide $7.81 million in cash in tranches over 12 months, including $3 million by Dec. 30, 2026, with full funding due by Sept. 30, 2027. Sadot issued VisionWave 250,000 common shares as an entry premium. CMJV’s loans to C.M. Composite Materials carry 12% interest and mature in February 2029.
