Sao Paulo sanitation utility Sabesp holds extraordinary shareholder meeting on EMAE share-incorporation proposals

SABESP held an extraordinary shareholders’ meeting on July 30, 2026 to vote on the proposed incorporation of EMAE shares.

Shareholders ratified the appointment of Apsis Consultoria e Avaliações to prepare the valuation reports supporting the transaction.

Investors adopted the valuation report for the share incorporation, the Article 264 exchange-ratio valuation report, the merger protocol, and the share incorporation itself.

The meeting also authorized a share capital increase tied to the transaction, a related restatement of the bylaws, and steps needed to complete the deal.

The approvals authorize execution but do not, by themselves, confirm the incorporation has been completed.
