Scinai Immunotherapeutics announces private placement raising $4 million
SCNI•Scinai Immunotherapeutics priced a private placement targeting about $4 million in gross proceeds, including 2,458,334 ADSs or pre-funded warrants sold with Series A-1 warrants at a combined price of $1.20 per ADS. The closing is expected around Oct. 15, 2026.
1. Placement terms
The placement includes Series A-1 warrants to purchase up to 3,687,501 ADSs, exercisable immediately at $1.20 and expiring in five years. Separately, an inducement covers cash exercise of April 2026 warrants for 879,194 ADSs at a reduced $1.20 exercise price; the investor will receive new unregistered Series A-1 warrants for 1,318,791 ADSs.
