SCWorx files amendment to charter for 1-for-12 reverse stock split

The move will cut common shares outstanding to about 89,000 from 1,066,918, with split-adjusted trading expected to start Aug. 4 under a new CUSIP 78396V 406.
Fractional shares will be rounded up to a whole share for holders of record, while street-name rounding will occur at the DTC participant level.
Capital structure and Nasdaq compliance
The reverse split leaves authorized common shares unchanged, increasing authorized but unissued stock and potential dilution.
The action aims to help meet Nasdaq’s $1 minimum bid requirement by Aug. 28, 2026, though the listing remains subject to other compliance conditions.
